"A HRT encontra-se em uma situação muito especial em termos de governança corporativa. A administração da empresa, da qual o fundador com apenas 1.7% do capital faz parte, contando com apoio de um acionista relevante, indicou a chapa única para o Conselho de Administração e 3 candidatos ao Conselho Fiscal.

Independentemente de reivindicar modificações, de apoiar ou não a chapa da administração, considero essencial que ao menos um Conselheiro Fiscal seja indicado por outros acionistas. Acho temerário o mesmo grupo de acionistas  que elege todo o Conselho de Administração eleger todo o Conselho Fiscal. Considero muito importante os minoritários terem um representante no Conselho Fiscal. Portanto, apoio o Renzo Bernardi como Conselheiro Fiscal, e peço o seu voto na Assembleia, ou através do Assembleias on line, ou procuração, para elegê-lo.

Ex-conselheiro de Administração da HRT,  renunciei no final do ano passado por divergências com a forma com que o Presidente do Conselho e o Fundador conduziam o Conselho e por tabela a empresa.

HRT is in a very special Corporate Governance situation. The Company’s Board of Directors, of which the founder with only 1.7% of the capital is a member, has indicated the only slate for the Board of Directors election in the Shareholders meeting next March 19th, and the so far the only three candidates for Fiscal Council.  In Brazil, the role of a Fiscal Council has some similarities with an Audit Committee, but one significant difference: it reports to the Shareholders and Monitors the Board.  It is therefore absurd that the Board nominates the candidates of a Council meant to control them.

Regardless of claiming for modifications in the company (which I do), or supporting or not the single board slate, I consider essential that at least one Fiscal Council member is elected by a different group of shareholders than the ones who chose the Board slate.  Therefore, I support Renzo as a Fiscal Council Member, and I ask for your vote for him in the Shareholders meeting, or through the Assemblies Online, or forwarding a proxy to elect him.
